Purpose

1.1  These Terms and Conditions (“Terms”) govern the use of Stack Gain Pay (“Stack Gain Pay” or the “Service”), a payment facilitation feature offered through the Stack Gain platform operated by Gates Digital (“Stack Gain,” “we,” “us,” or “our”). Stack Gain Pay enables registered users to make payments to participating Digital Service Vendors and merchant partners via the Stack Gain platform at www.stackgain.io.

1.2  By accessing or using Stack Gain Pay, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any other applicable Stack Gain policies. If you do not agree with any part of these Terms, you must discontinue use of Stack Gain Pay immediately.

1.3  These Terms apply to all users of Stack Gain Pay across the Southeast Asian markets we serve, including Singapore, Indonesia, Malaysia, Vietnam, and Thailand. Stack Gain reserves the right to amend these Terms at any time, and any updates will be published on our website. Continued use of the Service following publication of changes constitutes acceptance of the revised Terms.

1. How We Earn Money

StackGain participates in affiliate, reseller, and partner programs with software vendors including but not limited to Vanta, Arize AI, Notion, Webflow, Drata, and Mindgard (“Vendors”). We earn a commission of 20-50% when you purchase a Vendor product through our links, referrals, or procurement service.

2. Eligibility & Account Requirements

2.1  To use Stack Gain Pay, you must:

• Be at least 18 years of age;
• Hold a valid and active Stack Gain account in good standing;
• Have a current, valid, and accepted payment method linked to your Stack Gain account; and
• Comply with all applicable laws and regulations in your jurisdiction.

2.2  Stack Gain reserves the right to restrict, suspend, or terminate access to Stack Gain Pay for any user who fails to meet these requirements, or who engages in conduct that violates these Terms or any applicable law.

2.3  Each payment account (such as a bank account or digital wallet) may only be linked to one Stack Gain account at any time. Attempts to link the same payment account to multiple Stack Gain accounts may result in account suspension.

3. Cashback Conditions

3.1 We rebate 30% of the net commission we receive from Vendors back to you as cashback.

3.2 You must purchase through StackGain’s designated link, referral code, or procurement process.

3.3 You must pay the Vendor directly at their standard published rates. StackGain does not mark up pricing.

3.4 Cashback is paid within 14 calendar days after: (a) StackGain receives commission from the Vendor, and (b) the Vendor’s clawback/refund period has expired, typically 90 days from purchase.

3.5 If you cancel, downgrade, or receive a refund from the Vendor within the clawback period, no cashback will be paid. If cashback was already paid, you agree to return it.

3.6 Cashback is calculated on net commission received by StackGain after deduction of payment processing fees, taxes, and partner platform fees.

3.7 Cashback estimates shown in calculators are for illustration only. Final cashback amount will be confirmed in writing after purchase.

4. No Price Increase

Purchasing through StackGain does not increase your price. In many cases, we secure partner pricing that is lower than standard public rates.

5. Digital Service Vendors & Merchant Partners

5.1  Stack Gain facilitates payments to Digital Service Vendors and merchant partners participating in the Stack Gain platform. Stack Gain acts as a payment facilitator and is not a party to any transaction between you and the vendor or merchant.

5.2  You acknowledge and agree that:

• Digital Service Vendors and merchant partners are solely responsible for the products and services they offer;
• Stack Gain does not guarantee the quality, availability, or suitability of any products or services offered by vendors or merchants;
• Any disputes regarding the quality or delivery of a product or service must be resolved directly with the relevant vendor or merchant; and
• Vendors and merchants operate independently and are not agents, employees, or representatives of Stack Gain.

5.3  Stack Gain may, from time to time, add new Digital Service Vendors or remove existing ones from the platform. The availability of specific vendors on Stack Gain Pay is subject to change without prior notice.

6. Independence & No Endorsement

6.1 Independent Partner

StackGain is an independent procurement partner. We are not owned by, affiliated with, endorsed by, or sponsored by any Vendor unless explicitly stated in writing.

6.2 No Guarantee of Vendor Performance

All software is subject to the Vendor’s terms of service, privacy policy, SLA, and data processing agreements. StackGain is not liable for Vendor uptime, data breaches, service changes, feature removals, or support quality.

7. Compliance Disclaimer

7.1 No Legal or Compliance Advice

StackGain provides procurement, implementation, and configuration services. We do not provide legal advice, compliance audits, or certifications.

7.2 No Guarantee of Regulatory Compliance

Use of software procured through StackGain does not guarantee compliance with EU AI Act, ISO/IEC 42001, PDPA, GDPR, SOC 2, or any other law, regulation, or standard. You are solely responsible for engaging qualified legal, technical, and audit professionals to verify compliance.

7.3 Your Responsibility

You are responsible for: (a) assessing if a Vendor product meets your regulatory requirements, (b) configuring the product correctly, and (c) maintaining compliance on an ongoing basis.

8. StackGain Services

8.1 Procurement Service

We assist with vendor selection, negotiation of annual plans, and license provisioning. You contract directly with and pay the Vendor.

8.2 Implementation Service

If purchased, we provide setup and configuration based on best practices. This is provided “as-is” without warranty of fitness for your specific use case.

8.3 Retainer Service

Monthly retainers cover renewal management, license optimization, and basic compliance documentation support. Does not include legal advice or formal audits.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, StackGain’s total liability for any claim shall not exceed the total commission we received from your specific purchase. StackGain is not liable for indirect, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Limitation of Liability & Indemnity

10.1  To the fullest extent permitted by applicable law, Stack Gain shall not be liable for:

• Any loss, damage, cost, or expense arising from errors in the order amount entered by you during a transaction;
• Any failure, interruption, or delay in the processing of a payment caused by circumstances beyond Stack Gain’s reasonable control, including third-party payment processor outages or network disruptions;
• Any actions or omissions of Digital Service Vendors or merchant partners in relation to your transaction, including refusal of payment or delivery of services; or
• Any indirect, incidental, consequential, or punitive loss arising from your use of Stack Gain.

10.2  Nothing in these Terms excludes or limits Stack Gain’s liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

10.3  You agree to indemnify and hold harmless Stack Gain and their respective directors, officers, employees, and agents from and against any claims, losses, liabilities, costs, and expenses (including legal fees) arising from your breach of these Terms, your misuse of Stack Gain, or any third-party claims arising from your actions in connection with the Service.

11. Suspension & Termination

11.1  Stack Gain may, at its sole discretion and without prior notice, suspend or terminate your access to Stack Gain Pay if:

• You breach any provision of these Terms or any other Stack Gain policy;
• Stack Gain reasonably suspects fraudulent activity, misuse, or abuse in connection with your account;
• You provide false, misleading, or inaccurate information to Stack Gain; or
• Continuation of your access poses a risk to Stack Gain, other users, or third parties.

11.2  Upon termination of your access to Stack Gain Pay, any pending cashback associated with unverified transactions may be forfeited. Stack Gain will notify you of any such forfeiture where reasonably practicable.

11.3  You may voluntarily close your Stack Gain account at any time by contacting support@stackgain.io. Any confirmed cashback balance remaining at the time of account closure is subject to the applicable cashback redemption terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore. Any dispute shall be subject to the exclusive jurisdiction of the Singapore courts. We encourage good faith negotiation before legal action.

13. Changes to Terms

We may update these Terms. Material changes will be notified via email 14 days before taking effect. Continued use of StackGain services constitutes acceptance.
